UCC records for equipment assignments
Send relevant UCC records with the underlying agreement and an itemized collateral description. A financing statement and a security agreement serve different purposes; a filing alone does not establish every right needed for recovery.
What the documents show
A security agreement documents the parties’ agreement concerning a security interest. A UCC financing statement is a public record identifying the debtor, secured party, and covered collateral. Review both rather than treating a filing receipt as a substitute for the underlying agreement.
Prepare the equipment schedule
List manufacturer, model, serial number, and financed accessories for the assets being assigned. Provide photographs and connect each item to the relevant agreement or schedule. If records use broad collateral language, your attorney should assess its meaning and the documents’ legal effect.
Questions for the lender’s attorney
Ask counsel to review attachment, perfection, priority, and the right to possession under the applicable law. Titled assets, fixtures, leased property, and competing interests can require different analysis.
